Air Canada Offloads 25% Share in Aeroplan for $2.5 Billion, Appraising the Program at $10 Billion
Air Canada has revealed a notable $2.5 billion minority equity investment in its Aeroplan loyalty program, spearheaded by Blackstone and La Caisse, accompanied by other Canadian institutions. This investment pertains to the acquisition of a 25% non-controlling equity stake in Aeroplan, placing a $10 billion valuation on the program. Nevertheless, Air Canada maintains complete operational control and a controlling ownership stake, underscoring that Aeroplan remains vital to its business strategy and customer value offering. The funds from this investment will mainly be allocated to settle Air Canada’s impending $1.2 billion bond maturity and expedite its share repurchase plan, rather than financing new aircraft or cabin interiors as previously suggested.

This action is not unusual, as airlines frequently utilize their loyalty programs for financing due to their high-margin characteristics. Throughout the pandemic, leading U.S. airlines secured over $25 billion utilizing loyalty programs as collateral. Air Canada has a track record of engaging external companies in its loyalty initiatives, having formerly divested Aeroplan as an independent firm, Aimia, before taking it back.

For Aeroplan members, the involvement of external investment entities usually raises worries about potential effects on customer experience, as these firms often focus on margins. However, considering this is a minority interest, major alterations are not expected. Historically, Aeroplan thrived when it operated independently, and current value constraints mirror broader industry patterns rather than Air Canada’s management.

In conclusion, while the investment by Blackstone and others brings in external stakeholders to Aeroplan, it is improbable to significantly impact members. The arrangement showcases Air Canada’s strategic maneuvering, having acquired Aeroplan for $323 million and now divesting a 25% stake for $2.5 billion.
