In the early part of 2025, Lufthansa Group secured a 41% interest in ITA Airways, Italy’s national airline, which was previously referred to as Alitalia. This acquisition represented a noteworthy advancement in Lufthansa’s strategic growth within the European aviation sector. The opportunity for Lufthansa Group to obtain a controlling interest in ITA Airways was part of the original agreement, and this initiative is now being actualized.
Lufthansa Group plans to elevate its ownership in ITA Airways to 90% by exercising its option to obtain an extra 49% share. This deal, estimated at 325 million euros, is set to take place in June 2026. The agreement is dependent on acquiring regulatory approvals from the European Commission and the US Department of Justice, with the transaction expected to finalize in the first quarter of 2027. Once completed, ITA Airways will be fully assimilated into the Lufthansa Group, while the Italian government will keep a 10% stake.
Lufthansa Group’s CEO Carsten Spohr conveyed assurance in the integration process, emphasizing that ITA Airways is already operating as a vital component of the Lufthansa Group. The airline has implemented unified booking and sales systems, joined the Star Alliance, and integrated into the Miles & More frequent flyer system. Furthermore, Lufthansa Cargo has been promoting ITA Airways’ cargo capacity, boosting the group’s cargo operations.
The acquisition was foreseen and is projected to have limited immediate repercussions, as ITA Airways has been functioning under the strategic framework of the Lufthansa Group. The forthcoming strategic move involves incorporating ITA Airways into Lufthansa Group’s joint ventures, including the transatlantic collaboration with United and Air Canada, pending regulatory clearance.
In conclusion, Lufthansa Group’s augmented stake in ITA Airways is a strategic initiative aimed at bolstering its position in the European market. The integration process is progressing smoothly, with minimal disruption anticipated for customers. The complete integration is expected to enhance Lufthansa Group’s operational strengths and market presence.
